Use the website lawfully
You may browse and use this website for legitimate personal or business purposes. You must not interfere with website security, attempt unauthorised access, introduce malicious code, scrape restricted areas, misrepresent your identity or use our content in a way that infringes another party’s rights.
We may change, suspend or withdraw website features when reasonably necessary for maintenance, security, legal compliance or service improvement.
Every engagement starts with an agreed scope
Website descriptions explain the kinds of services we may provide, including AI and business automation, custom software and business systems, and digital growth services. They do not create a binding promise to deliver a particular result.
Deliverables, milestones and exclusions belong in the accepted project document.
Requests outside the agreed scope may affect fees, resources and timelines.
Delivery dates may depend on timely access, feedback and third-party services.
Review and acceptance criteria should be recorded for each engagement.
Good delivery depends on shared inputs
Clients are responsible for providing accurate information, authorised access, timely approvals and lawful materials required for the work. A client must have the right to share any data, brand assets, credentials, content or third-party accounts supplied for a project.
- Nominate an authorised decision-maker.
- Review deliverables within agreed response periods.
- Maintain secure control of accounts and credentials.
- Use delivered systems in accordance with applicable law and documentation.
Commercial terms belong in writing
Fees, currencies, taxes, deposits, billing milestones, recurring charges and payment dates will be stated in the relevant proposal, invoice or agreement. Unless a project document says otherwise, quoted amounts exclude third-party licences, usage charges, hosting, advertising spend and taxes.
We may pause work where an undisputed payment is overdue, after giving reasonable notice. Any refund, cancellation or rescheduling terms will be those stated in the applicable project document.
Ownership depends on the agreed deliverable
Tech Orbit Systems retains ownership of its pre-existing tools, methods, templates, libraries, know-how and reusable components. Subject to full payment, rights in custom deliverables will transfer or be licensed as described in the project agreement.
Third-party software, open-source components, fonts, stock assets, APIs and platforms remain subject to their own licences. Portfolio use, confidentiality restrictions and attribution requirements should be recorded in the engagement documents.
Confidential information should be protected
Each party should use reasonable care to protect confidential business information received during an engagement and use it only for the agreed purpose. Information that is already public, independently developed or lawfully received from another source is not ordinarily confidential.
Personal data is handled in line with our Privacy Policy and the project-specific data arrangements agreed with the client.
External platforms have their own rules
Projects may connect with hosting providers, cloud services, AI models, CRM platforms, communication tools, payment services, social networks or other third parties. Their availability, pricing, policies and performance are outside our direct control.
Unless expressly agreed otherwise, the client is responsible for maintaining required third-party accounts, subscriptions and licences. We will identify material dependencies where reasonably practical.
Practical commitments, reasonable limits
We aim to perform agreed services with reasonable skill and care. Except where a signed agreement or applicable law provides otherwise, website content and general information are provided without a guarantee that they will always be complete, uninterrupted or error-free.
To the extent permitted by applicable law, neither party should be liable for indirect or consequential loss. Any project-specific liability cap, warranty period, service level or remedy must be stated in the applicable agreement. Nothing in these terms excludes liability that cannot lawfully be excluded.
Ending an engagement should be orderly
Either party may suspend or end an engagement only as allowed by the relevant agreement, including for material breach, non-payment, security risk or unlawful use. The project document should explain notice periods, handover, outstanding fees, data return and continuing obligations.
Updates, priority and contact
We may update these website terms to reflect changes in our services, technology or legal obligations. The review date at the top shows when this version was last considered.
If one provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right does not automatically waive it. Governing law, jurisdiction and dispute procedures for paid work should be specified in the signed project agreement.
Questions about these terms can be submitted through our contact page.
